These terms of use are entered into by and between you and Sunshine Retirement Living LLC, doing business as Sunshine Retirement Living (“Sunshine,” “we,” or “us“). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, the “Terms of Use“), govern your access to and use of https://www.sunshineretirementliving.com/, including any content, functionality, forms, tools, and services offered on or through the website (the “Website“).

Please read the Terms of Use carefully before you start to use the Website. By using the Website, you accept and agree to be bound by these Terms of Use. Our Privacy Policy, available at Privacy Policy, describes how we collect, use, disclose, and otherwise process personal information. If you do not want to agree to these Terms of Use, you must not access or use the Website.

The Website is intended for use by persons located in the United States. Except for job-application and recruiting functionality, the Website is intended for adults age 18 or older. Individuals who are at least 14 years old may use recruiting functionality to seek employment where permitted by law. The Website is not otherwise directed to minors.

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Website thereafter. The Sunshine name, the Sunshine Retirement Living name and logo, and all related names, logos, community names, service names, designs, and slogans are trademarks of Sunshine or its affiliates or licensors. You must not use these marks without prior written permission. All other names, logos, product and service names, designs, and slogans on the Website are trademarks of their respective owners.

Prohibited Uses

You may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Website:

In any way that violates any applicable federal, state, local, or international law or regulation.

Use a robot, spider, scraper, crawler, or other automatic device, process, or means to access, monitor, copy, extract, index, or collect Website materials or data without prior written consent.

Indemnification

You agree to defend, indemnify, and hold harmless Sunshine and its affiliates, licensors, service providers, officers, directors, employees, contractors, agents, suppliers, successors, and assigns from claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees, including reasonable attorneys’ fees, arising from your violation of these Terms of Use or misuse of the Website or Website content.

Governing Law and Jurisdiction

All matters relating to the Website and these Terms of Use, and any dispute or claim arising from or related to them, including non-contractual disputes or claims, will be governed by and construed in accordance with the internal laws of the State of Oregon without giving effect to any choice- or conflict-of-law provision or rule.

Any legal suit, action, or proceeding arising out of or related to these Terms of Use or the Website shall be brought exclusively in the state courts located in Deschutes County, Oregon, or, if federal jurisdiction exists, in the United States District Court for the District of Oregon. You waive objections to jurisdiction and venue in those courts.

Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, THE CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED. Waiver and Severability

A failure by Sunshine to assert a right or provision under these Terms of Use shall not constitute a waiver of that right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be eliminated or limited to the minimum extent necessary so that the remaining provisions continue in full force and effect.

Entire Agreement

These Terms of Use constitute the sole and entire agreement between you and Sunshine regarding use of the Website and supersede prior and contemporaneous understandings, agreements, representations, and warranties, written and oral, regarding the Website. Additional terms applicable to a specific Website feature, offer, program, service, opportunity, or transaction govern that subject matter as provided above. Our Privacy Policy and supplemental privacy notices describe our privacy practices and are not incorporated into these Terms of Use except to the extent expressly stated.
